Our Natural Resource Group is a pre-eminent player in the Canadian and international mining and natural resource industry. With our industry-based training and experience, we provide the highest level of legal service to the mining, oil and gas, geothermal, forestry, water, and power industries in areas as diverse as agreements relating to natural resource property interests, the financing of resource companies by public and private offerings of equity or debt, royalty agreements, project financings, bullion loans, smelting and refining contracts, metal sales contracts, take-over bids and the formulation of laws and policies relating to the mineral and electricity industries and mineral finance. Our diverse natural resource client-base includes governments, financial institutions, all types of investment and pension funds and companies engaged in all segments of the mineral oil, gas and power industries from exploration through development and production. Our natural resource and mineral industry experience and international network of industry contacts enables us to provide value-added legal service to our clients.

Our group of environmental practitioners with diverse environmental experience compliments our natural resource practice. Our environmental lawyers are knowledgeable in all aspects of the reclamation and sustainable development processes. We also focus on water law, emissions trading and climate change.

From our offices in Toronto and through an international network of law firms and mineral industry contacts, we help clients complete natural resource transactions in more than 50 countries in recent years.

Our Mining Group provides a comprehensive range of legal services to the mineral exploration and mining industries, both in Canada and internationally. This group has extensive experience in mineral industry issues through all stages of exploration, development and production (including the purchase and sale of mines and mineral product) and related environmental issues (including mine closure). We advise on negotiations with First Nations, production financing, securities issues, bank financing, take-over bids, foreign investment, government relations and socio-economic issues. In addition, the Mining Group provides mineral policy and strategy advice to governments and industry participants globally.

Our Securities & Public Markets Group advises on, plans and implements merger and acquisition transactions and a wide range of capital markets transactions, including public equity and debt offerings, government finance, private placements and investment fund/structured product offerings. We also deal with regulatory compliance matters and securities litigation in the courts and before administrative tribunals, and advise governments on securities regulation policy.

Corporate Client Services

We provide ongoing legal assistance to corporate clients as their worldwide activities evolve from the exploration to production stages. Examples of agreements we regularly prepare include agreements for the purchase and sale of resource properties and mines, options, earn-ins, royalty and joint venture agreements, bullion loans, sales agreements, and smelting and refinery contracts. In addition, we assist our clients in matters such as corporate governance and regulatory compliance with all Canadian stock exchanges and regulatory agencies.

Drawing on the experience and expertise of other practice groups within the firm as necessary, we have acted for corporations, commercial banks, investment banks and a variety of private equity and other investment funds in numerous debt and equity offerings. We regularly engage in initial public and secondary offerings, private placements, flow-through equity offerings, debt offerings and other forms of innovative financing. We also provide advice on take-over bids and mergers and acquisitions, and have assisted clients in obtaining and maintaining listings on many stock exchanges throughout the world.
